LEADARO Terms of Service
Effective date: 7 September 2026
Introduction
These Terms of Service ("Terms") govern your use of the LEADARO platform, operated by The Brand Doers Media SRL (J40/4451/2019, VAT ID RO40413030, Aleea Adjud nr. 2, bl. F1, ap. 20, Bucharest, Romania). "LEADARO", "we", "us" refer to The Brand Doers Media SRL. "You" refers to the legal entity or individual who creates a LEADARO workspace and accepts these Terms. By creating an account, you accept these Terms; if you do not accept them, do not use the platform.
Service description
LEADARO is an AI-native lead conversion platform for service businesses. It captures leads from connected channels (Google Ads, Meta, WhatsApp, voice, public forms), qualifies them through a per-workspace AI Brain, books appointments, and provides an operational inbox plus reporting. We may add, modify or remove specific features over time; material changes are announced in advance.
Accounts and workspace responsibilities
- You must be at least 18 years old and authorized to bind the legal entity creating the workspace.
- You are responsible for keeping account credentials confidential and for all activity in your workspace, including actions taken by members you invite.
- You are responsible for the legality of the data you bring into the platform, including obtaining any consents required from your end-customers under GDPR and other applicable laws.
- You must promptly notify us at office@thebrandoers.com if you suspect unauthorized access to your workspace.
Acceptable use
You agree not to, and not to permit others to:
- Use the platform to send unsolicited messages ("spam") or any communication that violates anti-spam laws (CAN-SPAM, GDPR, ePrivacy Directive, RO 506/2004).
- Upload, transmit or store illegal content, content that infringes third-party rights, or content that exploits minors.
- Scrape, crawl, reverse-engineer or attempt to extract the source code of the platform, or use automated tools to abuse our rate limits.
- Use the platform to impersonate any person or entity, or to misrepresent your affiliation with any person or entity.
- Interfere with the security, integrity or availability of the platform or any connected service.
- Resell, sublicense or whitelabel the platform to third parties without a separate written agreement with us.
We may suspend or terminate workspaces that violate the acceptable-use rules above, in line with the Termination section below.
Data ownership and processing
You retain all rights to the data your workspace brings into the platform — leads, conversations, bookings, custom configuration, AI Brain content. You are the data controller for that data; LEADARO is the processor and processes it solely on your documented instructions. A Data Processing Agreement is available on request and forms part of these Terms when signed. See our Privacy Policy for the full processing detail.
Subscription and billing
LEADARO is currently in a public test phase. During this phase, workspace access is provided free of charge under the operator-onboarded customer program; no fees are owed for standard usage. Commercial subscription terms (pricing, billing cycle, taxes, payment method) will be addressed in a separate commercial agreement when LEADARO transitions to general availability. Operators will be notified at least 30 days before any commercial terms take effect for their workspace.
Third-party integrations
LEADARO connects to third-party services (Google Ads, Meta, WhatsApp, Twilio, Postmark, Stripe, MedSoft, etc.). When you connect such a service, you are responsible for:
- Holding valid credentials, accounts and authorizations with the third-party provider.
- Complying with the third-party provider's own terms of service, acceptable-use policy and data-processing requirements.
- Paying any fees owed directly to the third-party provider (LEADARO does not pay your Google Ads spend, your Meta Ads spend, your Twilio voice minutes, etc.).
LEADARO does not guarantee the availability, performance or feature set of third-party APIs. If a third party suspends or restricts your account, the LEADARO features that depend on that integration will be unavailable until the upstream issue is resolved.
Messaging programs (SMS and WhatsApp)
Where LEADARO sends messages on behalf of your workspace — SMS in the United States through Twilio, WhatsApp through the Meta Cloud API — you operate a messaging program and you are responsible for it. By enabling messaging you agree that:
- You message only people who gave your business prior express consent to be contacted at that number, you keep proof of that consent, and you honor opt-outs immediately. Promotional messages require separate, explicit consent.
- Every conversation identifies your business, and recipients can opt out at any time by replying STOP (and get help by replying HELP). LEADARO and its telephony provider enforce STOP at the number level; you may not message a number that opted out unless the person opts back in.
- You comply with the TCPA, the CTIA Messaging Principles and Best Practices, CAN-SPAM, the applicable carrier rules and, in the EU, the GDPR and the ePrivacy rules. Message content may not include prohibited categories (sex, hate, alcohol, firearms, tobacco), high-risk financial offers, debt collection or anything unlawful.
- Phone numbers used for SMS are verified or registered with the carriers in the name of your business, based on information you provide. Inaccurate information can lead to the number being restricted by the carriers, which is outside LEADARO's control.
- Message and data rates may apply to recipients. LEADARO applies sending windows and may pause a program that generates carrier complaints or opt-out rates above industry norms.
Recipient-facing program terms: by providing a mobile number to a business that uses LEADARO, the recipient agrees to receive conversational and transactional messages (confirmations, reminders, replies) from that business; promotional messages only with separate consent. Reply STOP to cancel, HELP for help. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Mobile information is never shared with third parties or affiliates for marketing purposes. See also our Privacy Policy.
Google Ads API Terms of Service
When you connect a Google Ads account to your workspace, your use of the Google Ads API through LEADARO is also governed by the Google Ads API Terms of Service, which are incorporated into these Terms by reference. In the event of a conflict between these Terms and the Google Ads API Terms of Service with respect to the use of Google Ads API data, the Google Ads API Terms of Service control. You agree to be bound by them as a condition of using the Google Ads integration in LEADARO.
LEADARO's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See the Google API disclosure page for scope-by-scope detail.
Intellectual property
LEADARO and all related software, brand assets, documentation and content are the property of The Brand Doers Media SRL or its licensors and are protected by Romanian, EU and international intellectual property law. We grant you a non-exclusive, non-transferable, revocable license to use the platform for your internal business operations during the term of your workspace, subject to these Terms.
You retain all intellectual property rights in the content you place into your workspace (leads, conversations, AI Brain configuration, knowledge sources, custom prompts). You grant LEADARO a limited, non-exclusive license to host, store, transmit and process that content solely to provide the platform to you.
Disclaimers and warranties
The platform is provided "as is" and "as available". To the maximum extent permitted by law, LEADARO disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that AI-generated outputs will be accurate, complete or free of bias — operators are responsible for reviewing AI behavior and configuring guardrails appropriate to their context.
Limitation of liability
To the maximum extent permitted by Romanian law, neither party will be liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenues, lost data or business interruption, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or relating to these Terms will not exceed the fees you have paid to LEADARO in the 12 months preceding the event giving rise to liability (or, during the public test phase, EUR 100). Nothing in these Terms limits liability for gross negligence, wilful misconduct, fraud, or any liability that cannot be excluded under Romanian law.
Termination
- By you. You may close your workspace at any time from workspace settings or by emailing office@thebrandoers.com.
- By us for cause. We may suspend or terminate your workspace immediately if you materially breach these Terms (including the acceptable-use rules), if continued use poses a security risk to other workspaces, or if required by law or by a third-party provider whose API we depend on.
- Data return. Within 30 days of termination, you may request an export of your workspace data in a structured, commonly used machine-readable format. After 30 days we may delete workspace data; we will retain only what we are required to retain by law (e.g. invoices).
Governing law and jurisdiction
These Terms are governed by Romanian law. Any dispute arising out of or relating to these Terms or your use of the platform that the parties cannot resolve amicably will be submitted to the exclusive jurisdiction of the competent courts of Bucharest, Romania. Nothing in these Terms restricts a consumer's right to bring proceedings in the courts of the EU country where the consumer is resident, where such rights are granted by mandatory consumer-protection law.
Changes to these terms
We may update these Terms as the platform evolves or as the law requires. Material changes are notified to workspace owners at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
